Daniela is a seasoned corporate and commercial lawyer with more than 25 years of experience in M&A, corporate restructurings and complex cross-border transactions. She has advised private, public and state-owned companies, as well as major international groups, on cross-border mergers, privatisations and foreign direct investments in sectors such as energy, agribusiness, construction, IT and healthcare.
Daniela graduated from the Faculty of Law, University of Bucharest, and attended post-graduate courses in finance and banking at the Romanian Banking Institute. She has been a member of the Bucharest Bar since 1998.
Selected significant projects
- Recently advised, as part of an international team of lawyers, the shareholders of BAWI CONSTRUCTION SRL - a prominent player in the Romanian railway services sector, on a major M&A transaction involving the sale of 100% of BAWI’s equity to an entity within the Strabag Group.
- Assisted High Tech Systems & Software and entities part of Penta Investments Group (Dr. Max) in large share deals and complex business transfers involving software, intellectual property rights, trade marks, employees, assets, suppliers and client agreements.
- Assisted the shareholders of Azomures, one of the largest Romanian companies listed on the first tier of the Bucharest Stock Exchange, in connection with multiple international ownership transfers and other direct and indirect changes in the quality of control (structured the strategy, coordinated a multi-jurisdictional team involved in a cross-border corporate restructuring implemented through a cross-border merger and an in-kind contribution of listed securities).
- Landmark M&A: advised on the strategic sale of Azomureș to Ameropa, a high-profile transaction in the agribusiness sector.
- Advised shareholders in taking control over Rompetrol by debt-to-equity swap; assisted in corporate and management restructuring; assisted in the acquisition of Vega oil refinery.
- Assisted on the merger of five companies acting in constructions area (including Carpatcement, part of Heidelbergcement A.G. Group) listed on the Bucharest Stock Exchange and OTC market.
- Advised the purchasers (consortia of international companies) in preparing the tender, as well as in post-closing restructuring operations of major companies in the energy sector.
- Assisted APS Romania and APS Holding in the acquisition of participation in a non-banking financial institution; advised closing and post-closing procedures.
- Advised the Romanian State and various international consultants on the privatization of 10 companies (legal due diligence, tender procedure, negotiations and closing).
